Terms and Conditions for Prepaid Cards issued by LivQuik through Kodo

These Terms and Conditions (“T&Cs”) are applicable to you as you have subscribed to the Prepaid Card issued by  LivQuik Technology (India) private limited (LivQuik) and offered by Kodo. LivQuik is an RBI authorized PPI issuer. These T&Cs form a binding agreement between you, LivQuik and us. If you do not agree with these T&Cs, please do not use the Prepaid Card. For the purposes of these T&Cs, “we”, “our” and “us” shall mean Kodo and “you” and “your” shall mean a User of the Prepaid Card. Pursuant to the arrangement between LivQuik and Kodo, LivQuik will issue Prepaid cards which will be offered to you through our Kodo Platform. If you subscribe to the Prepaid Card, you also agree to be bound by LivQuik’s terms and conditions and policies as specified on  LivQuik’s website.

These T&Cs are in addition to, and not in derogation of, the applicable Terms & Conditions as issued by LivQuik from time to time and all T&Cs will continue to be governed by regulations of the Reserve Bank of India (“RBI”) on Prepaid Payment Instruments (PPI).

These T&Cs apply to all transactions involving the Prepaid Card and form a contract between the User, Kodo and LivQuik.

We reserve the right to update or modify these T&Cs at any time without prior notice. Your use of a Prepaid Card following any such change constitutes your agreement to follow and be bound by these T&Cs, as updated or modified. It is your responsibility to visit our website and LivQuik’s website on a regular basis to obtain the latest updates on the terms and conditions and policies as issued by us and LivQuik respectively.

By accepting these T&Cs, you represent and warrant that: (a) you have the full legal authority to accept these T&Cs, and (b) you have read and understood these T&Cs;

I. DEFINITIONS

“LivQuik” refers to LivQuik Technology (India) Private Limited, a company incorporated under the laws of India and having its registered office at C-15, Sriram Nivas, 1st Floor, Secretariat Colony, Thiruvalluvar Nagar, Alandur, Chennai, Tamil Nadu, India – 600 016.

“Kodo” refers to Kodo Technologies Private Limited, a company incorporated under the Companies Act, 2013 which is authorized by LivQuik to market and distribute the Prepaid Cards.

“LivQuik” or ”PPI Issuer” shall mean LivQuik Technology (India) Private Limited, i.e., the issuer of the Prepaid Cards.

“QuikWallet” means a prepaid instrument issued by LivQuik to a User in terms hereof. It facilitates the purchase of goods & services and remittances against the value stored on such instruments.

“Prepaid Card” means a card issued by LivQuik through Kodo to the holder of QuikWallet.

“Transaction” means an instruction or inquiry or communication as appearing in LivQuik’s records, given or made by the User using QuikWallet directly or indirectly to LivQuik to effect a transaction, whether via mobile or any other device of LivQuik or of LivQuik’s shared network.

“Know Your Customer (KYC)” refers to the various norms, rules, laws and statutes issued by RBI from time to time under which LivQuik is required to procure personal identification details from you before any services/product can be delivered.

“Co-branded Partners” refers to the companies or entities that collaborate with the Prepaid card issuer to create and promote co-branded cards and the name of the co-branded partner is used on the co-branded cards/instruments.

“Company” means a company as defined in the Companies Act, 2013, as amended from time to time.

“Platform” shall mean Kodo app/website from which the users can access and manage their Prepaid Cards.

II. USER’S RELATIONSHIP WITH LIVQUIK AND KODO

Who issues the Prepaid Card: LivQuik will issue the Prepaid Card to you (if you successfully complete the KYC process/minimum details requirement, and any other requirements that we or LivQuik may prescribe from time to time). The User understands that the Prepaid Card is not issued by Kodo and that the Prepaid Card is just offered by Kodo but issued by LivQuik. Kodo provides and maintains the Kodo Platform i.e. https://app.kodo.in/ through which you can access your Prepaid Card.

Who holds your funds: Kodo does not hold your funds. LivQuik holds your funds in its Escrow account and maintains corporate ledgers and virtual accounts for each corporate, against which all payments and transfers are settled. Hence, funds in your Wallet are solely held by LivQuik.

III. PROCESS OF PREPAID CARD ISSUANCE

(A) KYC Verification

LivQuik will issue a Prepaid Card to you only if you comply with the KYC requirements as stated by LivQuik, as per which you have to provide LivQuik with certain details about yourself. LivQuik will use and store the details you provide and authenticate your personal identification information for KYC compliance under applicable law. The User consents that Kodo shall have the right to use the User’s basic details/information such as name, date of birth, mobile number etc. to facilitate the platform features to use the Prepaid Cards.

You authorize LivQuik, including any third party that may be engaged by LivQuik to undertake your KYC process as may be required from time to time. You agree and acknowledge that LivQuik may use the services of a third party to complete your KYC process. You may be required to share with LivQuik copies of your documents and any other additional information that may be required to verify your identity. The collection, verification, audit and maintenance of the correct and updated information about you is a continuous process, so LivQuik reserve the right at any time, to take necessary steps (including re-kyc, if required or obtain additional information/documents) to ensure compliance with all applicable KYC requirements as per RBI guidelines (as amended from time to time). If you refuse to share your information for the KYC process, LivQuik may deny/suspend or limit your use of the Prepaid Card. All Users who have undertaken full KYC will be issued a Prepaid Card.

(B) Company Document Collection

For corporate KYC, LivQuik will collect the corporate documents based on the constitution of the Corporate and such documents shall be prescribed by LivQuik at the time of onboarding. Kodo being the interface between LivQuik and Corporate, it will get the documents from Corporate and pass it ahead to LivQuik.

LivQuik may use the above-collected documents for the purpose of carrying out due diligence of the corporate being onboarded by it for the Prepaid Card program.

Once the User has been onboarded with Kodo and LivQuik, the User will have access to:

LivQuik Prepaid Account:  Each onboarded corporate will have a LivQuik Prepaid Account (corporate pool account) in Kodo. Users with Admin-role access in Kodo can load funds here. Once loaded, an Admin can further allocate the funds to their teammates’ cards. Funds will always be held with LivQuik.

QuikWallet Account:  Each QuikWallet can have a virtual and physical card associated with it and such card shall be issued in the name of the User.

Prepaid Card:  Prepaid cards are issued to the individual user on top of their individual QuikWallets. Each Prepaid Card will have its own unique features like spending caps, etc. that need to be managed by the individual User or their Corporate admin from the Kodo Platform. The QuikWallet and Prepaid Cards associated with an individual will have a one-to-many relationship.

IV. SPEND & TRANSACTION CHANNEL LIMITS*

A QuikWallet shall be reloadable in nature. Below are the cappings applicable to the FULL KYC Prepaid Card based on the regulatory capping on the QuikWallet across all the instances**:

  • Maximum transaction amount for each transaction will be capped at Rs. 2,00,000
  • Each individual user can spend a maximum of Rs. 20,000,000 in a calendar month and Rs. 240,000,000 in a calendar year
  • Cash withdrawal shall be permitted upto a maximum limit of Rs.2,000/- per transaction within an overall monthly limit of Rs.10,000/- per individual User across all channels (agents, ATMs, PoS devices, etc.)
  • Contactless payments shall be permitted on Prepaid Cards with the maximum transaction limit prescribed by the RBI.

**The per transaction capping will be shared across all the instances of the individual user with the same PPI Issuer with all co-brand partners. E.g. An individual user’s Prepaid Card at Kodo is a single instance, and if the same user is onboarded for LivQuik Prepaid Card with XYZ co-brand, then that will be considered as a second instance.

Hence, the overall balance that the individual user can have at any given point of time for a PPI Issuer will be capped considering a single bucket across all the co-brand partners. Hence, the per transaction cap will also be defined based on the shared balance between all the co-brand partners for that particular Issuer.

Foreign transactions shall not be permitted on Prepaid Cards. The virtual and physical cards will only be valid for use within India.

There is no separate limit on the purchase of goods and services using Prepaid Cards, and LivQuik may decide on a limit for these purposes within the overall PPI limit.

V. REFUND PROCESS IN CASE OF CLOSURE

The funds can be transferred ‘back to source account’ (payment source from where the QuikWallet was loaded) or ‘own bank account of the User’ (duly verified by the LivQuik). However, LivQuik shall set limits considering the risk profile of the User, other operational risks, etc.

The User shall have the option to close the QuikWallet and transfer the balance as per the applicable limits of this type of PPI.

VI. EXPIRATION OF PREPAID CARD

Under the extant co-branding arrangement between LivQuik and Kodo, category of primary issuance shall be Card PPIs, which shall be backed by Wallets. The expiry period for Card PPIs shall be 5 years or date of expiry, as mentioned on the card, whichever is applicable as per the programme, and the Wallets shall have a perpetual validity.

Once the Prepaid Card linked to the QuikWallet is expired, the following process shall be followed:

(a) A new Prepaid Card can be reissued to the User in lieu of the expired Prepaid Card, based on the User’s request.

(b) A Prepaid Card which has expired can be blocked and the remaining balance on the Prepaid Card can be refunded back to the User.

(c) LivQuik may transfer the outstanding balance to its Profit & Loss account three years after the expiry date of the Prepaid Card. In case the User approaches LivQuik for a refund of such amount, at any time after the expiry date of the Prepaid Card, then the same shall be paid to the User in a bank account.

VII. DISPUTE RESOLUTION

In case of any transactional dispute in relation to the Prepaid Card, the User shall raise the request through the Kodo Platform and the same shall be resolved by LivQuik. Kodo reserves the right to transfer or refer any dispute to LivQuik as it may deem necessary in its sole discretion. VIII. FEES & CHARGES

Surcharges as charged by merchants will be applicable on transactions performed by card holders for certain merchant categories.

Currently there is no fees which are applied for the program however we shall update with applicable fees as and when introduced.

IX. LOST, STOLEN OR MISUSED PREPAID CARD

If a Prepaid Card is lost or stolen, it must be reported immediately to Kodo and/or LivQuik. However, in case of loss of a Prepaid Card due to theft, the User must also file a report with the local police station and should be able to produce a copy of the same upon request by LivQuik. Kodo and/or LivQuik will, upon adequate verification, suspend the Prepaid Card and terminate all facilities in relation thereto and will not be liable for any inconvenience caused to the User.

The User acknowledges that once a Prepaid Card is reported lost, stolen or damaged, the Prepaid Card cannot be used again, even if found subsequently. In such cases, the User shall discard the Prepaid Card. The User is responsible for the security of the Prepaid Card and shall take all steps towards ensuring that the Prepaid Card is not misused. In the event that Kodo/LivQuik determines that the User has failed to take the steps as mentioned above in case of loss/theft/destruction of the Prepaid Card and the same is questionable, financial liability on the lost, stolen or damaged Prepaid Card would rest with the User and could even result in cancellation of the QuikWallet.

However, in case of any dispute relating to the time of reporting and/ or transaction/s made on the Prepaid Card, post reporting of the said Prepaid Card as being lost/ stolen/ misused, Kodo/LivQuik shall reserve the right to ascertain the time and/ or the authenticity of the disputed transaction. Kodo/LivQuik reserves the right to block the Prepaid Card on the suspected risk of compromise in order to protect the interest of the User and to avoid misuse in any manner of the Prepaid Card and QuikWallet. The User shall not be able to use the blocked Prepaid Card for any transaction/s and shall receive a replacement Prepaid Card within 7 (seven) working days. In the event that the User, after being informed by Kodo/LivQuik of the probable fraud risk, still requests to unblock the Prepaid Card, Kodo/LivQuik shall not stand liable or responsible in any manner for any fraudulent transactions reported to it thereafter on account of fraudulent usage of the Prepaid Card or otherwise.

X. TRANSACTION DATA

The User consents that Kodo shall have the right to use, access, store, monitor and share the transaction data of the User with its parent, subsidiary, affiliate company, its partners, regulatory Authorities, Credit Bureaus, Credit Information Companies, financial institutions, regulatory authorities and any other authorities.

XI. SUSPENSION/BLOCKING OF PREPAID CARD

Kodo may suspend the provision of the Prepaid Card for the User:

  1. If the User fails to pay any charges, fees, or interest due on the Prepaid Card to Kodo as per the timelines specified herein or as otherwise communicated by Kodo from time to time;
  2. In case of unauthorized usage of the Prepaid Card;
  3. In case of loss/theft of the Prepaid Card;
  4. In case these terms & conditions are not adhered to.
  5. If Kodo suspects, or has reason to believe or upon request or instruction from a competent authority, that a User has violated any of the terms, rules, laws, regulations and guidelines.

XII. MISCELLANEOUS

  1. The Prepaid Cards are issued by LivQuik (“Issuer”) at its sole discretion. In case the Issuer decides to temporarily suspend/block the Prepaid Card at any point in time for any reason whatsoever, the User agrees that in such a scenario Kodo shall not be held liable for the same.
  2. The User agrees that any transactions conducted using the Prepaid Card shall be solely at their own risk. The User acknowledges and agrees that Kodo shall not be responsible or liable for any losses, damages, or liabilities arising from transactions conducted using the Prepaid card.
  3. The User authorizes Kodo and LivQuik to send alerts for marketing/account-related information on the User’s registered mobile phone number and email ID.
  4. The User agrees that it shall bear sole responsibility for maintaining the confidentiality and security of credentials with respect to the Platform and for all activities/transactions that take place from its Kodo Platform. Additionally, Kodo shall not be held liable for any loss, cost or damage incurred by the User in any manner whatsoever, resulting from the misuse of credentials or unauthorized usage of the Platform, whether with or without their knowledge.

XIII. INDEMNIFICATION

User (“Indemnifying Party”) agrees to indemnify and hold harmless Kodo, its director, officers, employees, and agents (“Indemnified Party”) from and against claims, demands, actions, liabilities, costs, interest, damages and expenses of any nature whatsoever (including all legal and other costs, charges and expenses) incurred or suffered by the Indemnified Party, arising out of any: (a) any wrongful or negligent act or omission of the Indemnifying Party; (b) any breach of these T&Cs by Indemnifying Party; (c) any breach of applicable law, rules, regulations, legal requirements by the Indemnifying Party; and (d) any third party action or claim made against the Indemnified Party, by reason of any actions undertaken/omission to take any action by the Indemnifying Party under this Agreement.

XIV. GOVERNING LAW AND JURISDICTION

These T&Cs are governed and construed in accordance with the Laws of India. By using the Prepaid Card, you hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Mumbai, Maharashtra, India, in the event of any disputes arising out of or in relation to your use of the Prepaid Card

XV. DISCLAIMER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KODO MAKES NO CONDITIONS, WARRANTIES, OR OTHER COMMITMENTS (WHETHER EXPRESSED OR IMPLIED, INCLUDING AS TO SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR CONFORMANCE WITH A DESCRIPTION) REGARDING THE PREPAID CARD EXCEPT AS OTHERWISE EXPRESSLY STATED IN THESE T&Cs.
